Item 2.02 Results of Operations and Financial Condition

     On January 17, 2006, Monro Muffler Brake, Inc. (the “Company”) issued a press release announcing its operating results for the third quarter ended December 24, 2005. A copy of the press release is furnished herewith as Exhibit No. 99.1.

Item 8.01 Other Events

     On January 12, 2006, the Company issued a press release announcing that its Board of Directors has declared a cash dividend of $0.05 per share payable on January 30, 2006 to shareholders of record on January 20, 2006. A copy of the press release is attached as Exhibit No. 99.2.
