Item 2.02. Results of Operation and Financial Condition.
     ProxyMed, Inc. d/b/a MedAvant Healthcare Solutions (the “Company”) has been unable obtain a review of the interim financial statements contained in the attached Exhibit 99.1 by an independent accountant using professional review standards and procedures, although such a review is required by Form 10-Q pursuant to Rule 10-01(d) of Regulation S-X. The Company filed a voluntary petition for relief under Chapter 11 of Title 11 of the United States Bankruptcy Code on July 23, 2008. Currently, the Company does not have the funds to pay an independent public accountant to review the interim financial statements and, therefore, is unable to file a Form 10-Q for the quarter ended June 30, 2008 as required by applicable SEC rules. As a result, the Company has furnished the information that would otherwise be filed in its Form 10-Q in Exhibit 99.1 attached hereto in order to disclose information about the Company’s financial state of affairs in a timely fashion.
