On November 16, 2004, AmerUs Group Co., an Iowa corporation (the Company), filed a Schedule TO-I, File No. 5-80153 (the Schedule TO), relating to the Companys offer to exchange (the Exchange Offer) the Companys Optionally Convertible Equity-Linked Accreting Notes due 2032 (the New OCEANs) for any and all of its issued and outstanding Optionally Convertible Equity-Linked Accreting Notes due 2032 (the Existing OCEANs). By letter dated November 30, 2004, the Company received comments from the Staff of the Office of Mergers and Acquisitions in the Division of Corporation Finance of the Commission relating to the Schedule TO. Accordingly, on behalf of the Company, we are filing Amendment No. 1 to the Schedule TO (the Amendment) concurrently with the filing of this letter.
The Company has made certain changes in the Amendment in response to the Staffs comments, as discussed below. For your convenience, we have reproduced each of the comments contained in the Staffs letter of November 30, 2004. We also will provide you with a printed copy of the Amendment marked to show changes as soon as possible.
For your convenience, we have reproduced below the Staffs comments in italicized text before each of our responses.
Special Note Regarding Forward-Looking Statements, page ii
1. | The safe harbor for forward-looking statements provided in the Private Securities Litigation Reform Act of 1995 does not apply to statements made in connection with a tender offer. See Section 21E(b)(2)(C) of the Exchange Act. Therefore, please delete the reference to the safe harbor or state explicitly that the safe harbor protections it provides do not apply to statements made in connection with the offer. |
