ITEM 9. REGULATION FD DISCLOSURE

On February 6, 2004, Ashford Hospitality Trust, Inc. (the “Company”) issued a press release announcing that it completed a three-year $60 million secured credit facility with an interest rate of LIBOR plus 3.25%.
