Item 1.01 Entry into a Material Definitive Agreement.
     On November 15, 2005, an amendment to our senior secured credit facility agreement was fully signed and completed. The amendment between Wells Fargo Foothill, Inc. and us clarifies the borrowing base definition and the capital expenditure covenant in that agreement. Amendment Number One to Senior Secured Credit Agreement is filed as Exhibit 10.1 to this report.
