The Company is unable to file its Annual Report on Form 10-K in a timely manner because the Company has not completed its December 31, 2004, financial statements and notes. This delay has been created in large part by the concurrent review and assessment of internal controls required by Section 404 of the Sarbanes-Oxley Act of 2002.

The Company previously announced its preliminary 2004 financial results by press release dated February 3, 2005, a copy of which was furnished as an exhibit to a current report on Form 8-K filed with the Commission on February 7, 2005. This press release and the financial information provided therein set forth the material differences from the Companys 2003 financial performance and a description of the reasons for its 2004 performance.
