     On May 7, 2008, Michael A.B. Binney resigned from his position as President-International Sales of Emerson Radio Corp. (the “Company”). Mr. Binney continues to serve as a director of the Company.

     A copy of the press release announcing the resignation of Mr. Binney from his position as President-International Sales of the Company is being filed with this Current Report on Form 8-K as Exhibit 99.1.
