Item 8.01 Other Events.
On April 22, 2005, MetLife, Inc., a Delaware corporation, issued a press
release announcing that it is no longer considering selling Reinsurance Group of
America, Incorporated to finance a portion of the Travelers transaction. A copy
of the press release is attached hereto as Exhibit 99.1 and is incorporated
herein by reference.
