and the registrant seeks relief pursuant to Rule 12b-25(b), the following should

could not be eliminated without unreasonable effort or expense;

The Company's President and CFO is out of the country and as a result, we
need more time to complete our quarterly report.

We expect net income in excess of $10,000,000 for the period ended September 30,
2004, which includes a $9,000,000 gain on sale of discontinued operations.
We had a net income of $655,000 for the period ended September 30, 2003.
