 Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 1, 2017, Bruce Goldman, an Executive Vice President and the General Counsel and Secretary of Pennsylvania Real Estate Investment Trust (the “Company”) informed the Company that he plans to retire on January 9, 2018, by which time the Company expects to name his successor. Mr. Goldman’s decision to retire is not the result of any disagreement with the Company related to its operations, policies or practices.
