Item 5.02                      Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
 
Effective April 1, 2009, William E. Chiles, the Chief Executive Officer of Bristow Group Inc. (“Bristow”), voluntarily reduced his base salary from $750,000 per year to $675,000 per year.  As previously announced, Bristow has experienced declines in demand for its helicopter services, primarily in the exploration and development sector, with more limited declines in the production sector.  In response to this market environment, Bristow has taken certain cost reduction initiatives to properly position the company to continue meeting its customers' needs while maintaining operational safety.    Mr. Chiles elected to demonstrate leadership in these efforts by voluntarily reducing his salary by 10%.
