Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
At the 2007 Annual Meeting of Stockholders of Monmouth Real Estate Investment Corporation (the Company) held on July 26, 2007, the stockholders of the Company approved the 2007 Stock Option Plan (the 2007 Plan). The 2007 Plan will remain in effect until March 26, 2017, unless sooner terminated in accordance with its terms. Under the 2007 Plan, the Compensation Committee of the Companys Board of Directors may grant incentive stock options and nonqualified stock options to key employees and officers of the Company and any subsidiary of the Company. The selection of those key employees and officers, from among those eligible, who will receive awards under the 2007 Plan, is within the discretion of the Compensation Committee, provided that awards of incentive stock options may be made only to employees of the Company and any subsidiary of the Company. An aggregate of 1,500,000 shares of the Companys common stock are available for issuance pursuant to the 2007 Plan.
