Item 1.01 | Entry into a Material Definitive Agreement. |
Effective as of August 17, 2017, II-VI Incorporated (the Company) entered into a First Amendment to Third Amended and Restated Credit Agreement (the Amendment) with the Companys subsidiaries that are guarantors under the Companys existing credit facility, the lenders under the Companys existing credit facility and PNC Bank, National Association, in its capacity as administrative agent. The Amendment amended the credit agreement governing the Companys existing credit facility to, among other things, allow the Company to incur up to $350.0 million aggregate principal amount of unsecured indebtedness, subject to the terms and conditions set forth in the Amendment and the other applicable terms and conditions under the Companys existing credit facility. The foregoing description of the Amendment and the transactions contemplated thereby is not complete and is subject to and qualified in its entirety by reference to the complete text of the Amendment, a copy of which is attached hereto as Exhibit 10.1 and the terms of which are incorporated herein by reference.

On August 22, 2017, the Company announced its intention to offer, subject to market conditions and other factors, $300.0 million aggregate principal amount of convertible senior notes due 2022 (the Notes) in a private placement to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended. The Company also intends to grant the initial purchasers of the Notes a 30-day option to purchase up to an additional $45.0 million aggregate principal amount of the Notes. The Companys press release announcing the proposed offering is filed as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
