NOTICE IS HEREBY GIVEN that the Annual Meeting of Stockholders of CEVA, Inc., a Delaware corporation (referred to herein as “we”, “our” or the “Company”), will be held on Monday, May 19, 2014, at 8:30 a.m., local time, at The Intercontinental, 111 East 48th Street, New York City, New York for the purpose of considering and voting upon the following matters:

 

  1. To elect eight directors, as specifically set forth in the attached proxy statement, to serve until the 2015 annual meeting of stockholders or until their successors are elected and qualified;

 

  2. To approve an amendment and restatement of our Amended and Restated 2003 Director Stock Option Plan to increase by 250,000 shares the number of shares of common stock reserved for issuance thereunder;

 

  3. To approve an amendment and restatement of our 2011 Incentive Plan to increase by 650,000 shares the number of shares of common stock reserved for issuance thereunder;

 

  4. To ratify the selection of Kost Forer Gabbay & Kasierer (a member of Ernst & Young Global) as independent auditors of the Company for the fiscal year ending December 31, 2014;

 

  5. Advisory vote to approve named executive officer compensation; and

 

  6. To transact such other business as may properly come before the annual meeting, including any postponements or adjournments thereof.

Our Board of Directors recommends a vote “FOR” all the proposals.
