Earlier this month, we mailed proxy materials to all of our shareholders in connection with a Special Meeting of Shareholders being held on November 17, 2011, to allow shareholders to vote on three proposals relating to our proposed merger with Exelon Corporation. Constellation shareholders are being asked, specifically, to vote “FOR” the proposal to approve the merger on substantially the terms set forth in the merger agreement, a copy of which is included as Annex A to the joint proxy statement/prospectus, “FOR” the non-binding, advisory proposal to approve the compensation that may become payable to Constellation’s named executive officers in connection with the completion of the proposed merger and “FOR” the proposal to adjourn the Constellation special meeting, if necessary, to solicit additional proxies in favor of the merger proposal.

Since you are a critical link to our broader employee population, a majority of who own shares in Constellation, your help is needed to carry the following message to your teams:

All Constellation shareholders are receiving proxy materials in the mail in connection with a Special Meeting of Shareholders being held on November 17, 2011, to allow shareholders to vote on three proposals relating to our proposed merger with Exelon Corporation. Employees who have Constellation shares in different accounts may receive more than one proxy card and should vote the shares from each card.

 

 

Approval of the merger proposal requires the affirmative vote of a majority of all the votes entitled to be cast. As a result, if a shareholder abstains from voting or fails to vote, it will have the same effect as a vote against the merger proposal. Whether your holdings are large or small, we urge you to vote your shares “FOR” the merger proposal, the compensation proposal and the adjournment proposal as promptly as possible. The voting can be done online, on the phone or through the mail, and the proxy materials will have clear instructions.
