Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 30, 2011, Phillip R. Altinger notified DCT Industrial Trust Inc. (the “Company”) (NYSE: DCT) that he was resigning as a director of the Company for personal reasons effective as of June 30, 2011. Mr. Altinger had no disagreements with the Company on any matter relating to the Company’s operations, policies or practices.

The Board of Directors of the Company thanks Mr. Altinger for his dedicated service and invaluable contributions to the Company.
