| Item 3.01 | Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing |
On July 2, 2009, eDiets.com, Inc. (the “Company”) received a Staff Determination letter from NASDAQ (the “Delisting Notice”) indicating that the Company did not regain compliance with the minimum $35 million market value of listed securities requirement set forth in NASDAQ Listing Rule 5550(b)(2). As a result, the Company’s common stock would be subject to delisting unless the Company requests a hearing before a NASDAQ Listing Qualifications Panel (the “Panel”). The Company has requested a hearing before a Panel. Consequently, the Company’s common stock will remain listed on The NASDAQ Capital Market until the Panel renders a decision following the hearing. However, there can be no assurances that the Panel will grant the Company’s request for continued listing.
