Item 2.02 Results of Operations and Financial Condition.

On January 16, 2009, Renasant Corporation (the “Company”) issued a press release announcing its intent to increase its provision for loan losses for the fourth quarter of 2008. The press release is furnished as Exhibit 99.1 to this Form 8-K.

Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(e) On January 12, 2009, the Company delivered notice to Larry R. Mathews that his current employment agreement would not be renewed upon the expiration of its term on December 31, 2009. The Company currently expects that Mr. Mathews will remain employed with the Company as an Executive Vice President following the termination of his employment agreement.
