Item 8.01. Other Events.
On May 8, 2007, Renasant Corporation issued a press release announcing that it has agreed to sell 2.4 million shares of its common stock at an offering price of $22.50 per share through a firm commitment underwritten offering. The offering is scheduled to close on May 11, 2007, subject to customary closing conditions contained in the underwriting agreement entered into between the parties.
A copy of such press release is attached as Exhibit 99.1 to this Form 8-K.
