AmerisourceBergen Corporation (the “Registrant”) is filing this Registration Statement on Form S-8 (the “Registration Statement”) to register an additional 11,000,000 shares of Common Stock, par value $0.01 per share, for issuance under the AmerisourceBergen Corporation 2002 Management Stock Incentive Plan, as amended and restated effective February 9, 2006 (the “Plan”).
