Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
On June 16, 2005, Stuart B. Ross, a member of the Board of Directors of MicroStrategy Incorporated (the “Company”), informed the Company that, in light of his intention to retire from the Board of Directors, he will not stand for re-election at the Company’s 2005 annual meeting of stockholders (the “Annual Meeting”). Mr. Ross intends to continue to serve as a director until the expiration of his current term at the Annual Meeting.
