Remarks: Grant of restricted Common Shares ("Restricted Shares") of the Issuer, subject to vesting upon the satisfaction of certain service- and performance-based vesting conditions. The number of Restricted Shares granted represents the maximum number of Common Shares in which the holder may vest. The grant of Restricted Shares consists of three substantially equal vesting tranches, and the number of Restricted Shares in a given tranche that vest is a function of the Issuer's Total Shareholder Return during a given calendar-year period relative to the members of a predetermined peer group of companies and is further conditioned upon continued service through, in the case of the first two vesting tranches (representing performance in 2010 and 2011), December 31, 2011, and in the case of the third vesting tranche (representing performance in 2012), December 31, 2012. Shares in a given vesting tranche that do not vest as a result of failure to satisfy either vesting condition applicable to such tranche will be forfeited. |
