On December 21, 2009, Sterling Financial Corporation, ("Sterling") entered into an Indemnification Agreement with James B. Keegan, Jr., a member of the Sterling board of directors. A copy of the Indemnification Agreement is furnished as Exhibit 10.1 to this Current Report on Form 8-K. In general, the Indemnification Agreement requires Sterling to indemnify and hold harmless Mr. Keegan to the fullest extent authorized by Washington law and other applicable laws, rules and regulations, and to provide indemnification against third-party proceedings, subject to certain exceptions. (b) On December 17, 2009, Mr. Keegan gave Sterling notice of his intent to resign, effective December 22, 2009, from the Sterling Board of Directors as a result of health issues related to congestive heart failure that is progressing.
