Item 8.01 Other Events.

 

On July 17, 2018, NCI Buildings Systems, Inc. (the “Company”) and Ply Gem Parent, LLC (“Ply Gem”) issued a press release announcing the execution of an Agreement and Plan of Merger, dated as of July 17, 2018 (“Merger Agreement”), by and among the Company, Ply Gem and, for certain limited purposes set forth in the Merger Agreement, Clayton, Dubilier & Rice, LLC, pursuant to which Ply Gem will merge with and into the Company. A copy of the press release is attached as Exhibit 99.1 to this report on Form 8-K and is incorporated herein by reference. A copy of an investor presentation is attached to this report on Form 8-K as Exhibit 99.2 and is incorporated herein by reference.
