This Schedule 13D relates to the common stock, $0.0001 par value of usell.com, Inc. (the “Company”). The principal address of the Company is 245 North Ocean Blvd., Suite 306, Deerfield Beach, FL 33441.

Item 3. | Source or Amount of Funds or Other Consideration. |
On December 21, 2012, the Reporting Person was granted 6,000,000 shares of common stock in connection with the Reporting Person’s employment at Chief Executive Officer. Of these shares, 750,000 have vested and the remaining vest on the 10th day of each month over a 21-month period, subject to continued employment on each applicable vesting date.

The securities were granted to the Reporting Person in connection with his employment with the Company.

(a) The Reporting Person beneficially owns 13,000,000 shares of the Company’s common stock. This amounts to approximately 24.2% of the outstanding shares of common stock as of January 25, 2013.
(b) The Reporting Person has the sole power to vote or to direct the vote, sole power to dispose or to direct the disposition of all shares owned by the Reporting Person.
(c) Except as described in this Schedule 13D, the Reporting Person did not engage in any transactions in shares of the Company’s common stock during the past 60 days.
