Item 1.02 
Termination of a Material Definitive Agreement.
 
On July 7, 2010, PolyOne Corporation fully repaid $40.0 million of outstanding borrowings under and terminated its credit agreement, dated January 3, 2008, with Citicorp USA, Inc. (the “Credit Agreement”).  The Credit Agreement provided for an unsecured revolving and letter of credit facility with total commitments of up to $40.0 million and was scheduled to expire on March 20, 2011.
