Item 2.02 Results of Operations and Financial Condition.
 
On February 16, 2005, Stratasys, Inc. (the “Company”) issued a press release announcing its financial results for the fourth-quarter and fiscal year ended December 31, 2004 and on the same day, issued a press release with respect to financial guidance for the Company’s fiscal year 2005. A copy of these press releases are furnished with this report Current Report on Form 8-K as Exhibit 99.1 and 99.2, respectively.
