Item 5.02    Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On August 13, 2017, Transocean Ltd., a Swiss corporation (“Transocean”), Transocean Inc., a Cayman Islands exempted company and wholly owned subsidiary of Transocean, and Songa Offshore SE, a European public company limited by shares (or societas Europaea) existing under the laws of Cyprus (“Songa”), entered into a transaction agreement (the “Transaction Agreement”), pursuant to which Transocean will, subject to certain conditions, offer to acquire (the “Offer”) all of the outstanding shares of Songa Offshore (the “Transaction”).  Pursuant to the Transaction Agreement, Perestroika AS has the right, conditional upon completion of the Offer, to designate one individual for election to the Board of Directors of Transocean (the “Transocean Board”),  which designee shall be Mr. Frederik Mohn, Chairman of Songa and an affiliate of Perestroika AS.  As described in the preliminary proxy statement filed by Transocean with the Securities and Exchange Commission on October 4, 2017 (the “Proxy Statement”), Transocean has nominated Mr. Mohn for election by Transocean’s shareholders at an extraordinary general meeting of Transocean’s shareholders (the “Extraordinary General Meeting”).

 

Under Transocean’s Articles of Association, the size of the Transocean Board is currently set at a maximum of 11 members. In order to permit the election of Mr. Mohn to the Transocean Board, Mr. Martin McNamara, a current member of the Transocean Board, has conditionally agreed to retire from the Transocean Board to create a vacancy to be filled by Mr. Mohn if Mr. Mohn is elected at the Extraordinary General Meeting.  Mr. McNamara’s retirement from the Transocean Board is conditioned on (i) approval by the Transocean shareholders of all the proposals presented at the Extraordinary General Meeting and (ii) completion of the Offer.

In connection with the Transaction, Transocean has filed with the SEC the Proxy Statement and Transocean and TINC (collectively referred to as the “Offeror”) have filed a Registration Statement on Form S-4 (the “Registration Statement”) containing a prospectus with respect to the consideration shares and exchangeable bonds to be issued in the Transaction (the “Prospectus”).  When available, Transocean will mail the Proxy Statement to its shareholders in connection with the vote to approve certain matters in connection with the Transaction and the Offeror will distribute the Prospectus to certain securityholders of Songa in the United States in connection with the transaction and related Offer contemplated by the Transaction Agreement.
