Item 8.01 Other Events.
On May 15, 2014, ITC Holdings Corp. announced the consideration for the previously announced cash tender offer (the “Offer”) and consent solicitation (the “Consent Solicitation”) for any and all of its outstanding $255,000,000 aggregate principal amount of 5.875% Senior Notes due 2016 and any and all of its outstanding $255,000,000 aggregate principal amount of 6.375% Senior Notes due 2036. A copy of the press release, dated May 15, 2014, is attached as Exhibit 99.1 hereto and is incorporated herein by reference.
