Item 8.01.     Other Events.

 

On August 6, 2013,  PHH Corporation (“PHH,” the “Company,”“we”or “our”) issued a press release announcing an increase in the maximum amount of its 9¼% Senior Notes due 2016 (the “Notes”) that it is seeking to purchase for cash pursuant to its previously announced tender offer to $350 million, from the original amount of $300 million. As a result of the increase, the proration percentage is also being increased to 77.78% from 66.67%.  A copy of the press release announcing the increase is filed herewith as Exhibit 99.1 and incorporated herein by reference.
