Item 2.02.      Results of Operations and Financial Condition

On February 26, 2007, Entercom Communications Corp. (the “Company”) issued a press release (the “Press Release”) announcing fourth quarter and year end 2006 results, and guidance for the first quarter of 2007.  Specifically, the Company announced that for the fourth quarter of 2006:

·              net revenues were $118.5 million;

·              station operating expenses were $69.7 million;

·              operating income was $26.9 million; and

·              net income was $6.9 million.

In addition, the Company announced that for the year ended December 31, 2006:

·              net revenues were $440.5 million;

·              station operating expenses were $260.2 million;

·              operating income was $126.6 million; and

·              net income was $48.0 million.

The Company also announced that it expects first quarter 2007 same station net revenues and same station operating expenses to increase in the low single digits.
