Item 5.02(b) Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

Mr. Kris Chellam, Xilinx, Inc’s Senior Vice President, Corporate and Enterprise Services, announced his retirement effective the end of February 2007, after nearly nine years with Xilinx.  The position held by Mr. Chellam will be eliminated upon his retirement. This Form 8-K is being filed in order to satisfy the filing requirements of Form 8-K which requires a filing upon the retirement of any named executive officer.
