Item 1.01. Entry into a Material Definitive Agreement.

On September 15, 2006, Mothers Work, Inc. announced that its Board of Directors had approved the following supplemental payments to certain directors for their extensive time and assistance in their capacity as members of the Board of Directors during 2006: $12,500 to Elam M. Hitchner, III, and $6,250 to each of Joseph A. Goldblum and William A. Schwartz, Jr.
