Item 8.01 Other Events.
James Heeger announced his intention to resign as Senior Vice President, Creative Professional Business Unit, of Adobe Systems Incorporated effective March 2, 2005. Mr. Heeger has accepted the position of Chief Executive Officer with PayCycle, Inc.
