Item 7.01 Regulation FD Disclosure.
On December 17, 2004, Pac-West Telecomm, Inc. announced that it has signed a definitive agreement to sell its small and medium size enterprise (SME) customer base to TelePacific Communications. A copy of the press release is attached hereto as Exhibit 99.1.
