Schooner Capital Corp. Provides Update on Qualifying Transaction for Ponderosa Gold Property in Spences Bridge Gold Belt

 

Toronto, Ontario - TheNewswire December 2, 2020 – Schooner Capital Corp. (TSXV:SCH.P) (“Schooner” or the “Company”) is pleased to announce that it has filed a filing statement dated November 30, 2020 (the "Filing Statement") with the TSX Venture Exchange (the "TSXV") for the share exchange transaction (the "Transaction") with 1201361 B.C. Ltd. ("Target").

The Transaction, as previously announced in the Company's news release dated September 1, 2020 and updated on October 27, 2020, will constitute Schooner’s Qualifying Transaction, as defined under TSXV Policy 2.4 - Capital Pool Companies.  Assuming all conditions for closing are satisfied, the Company and Target expect to close the Transaction on or about December 15, 2020 (the "Anticipated Closing Date").

In due course, the parties to the Transaction will issue a further comprehensive news release announcing, among other things, the closing of the Transaction and the date on which the common shares of Schooner (the “Schooner Shares”) will resume trading.

Name Change

In connection with the Transaction, on or before the Anticipated Closing Date, the Company will change its name to "Au Gold Corp." (the "Name Change") and the Company’s trading symbol will change from "SCH.P" to "AUGC". Completion of the Name Change remains subject to the approval of the TSXV.

Technical Report

A technical report titled “Technical Report on the Ponderosa Property, Merritt Area, British Columbia, Canada” dated effective August 5, 2020, as revised on October 6, 2020, prepared in accordance with National Instrument 43-101 - Standards of Disclosure for Mineral Projects, has been prepared for Target’s Ponderosa Gold Property and was filed under the Company's SEDAR profile in conjunction with the filing of the Filing Statement.

Management and Board of Directors

The management team of the Resulting Issuer will be led by Marc G. Blythe, MBA, P. Eng as President and CEO, Winnie Wong, CPA, CA as the CFO and Corporate Secretary, and Mr. William A. Wengzynowski, P. Eng. as Exploration Manager.

The board of directors of the Resulting Issuer will be comprised of Mark Brown, Garrett Ainsworth, Neil Burns, and Scott Trebilcock. Trading Halt

The Schooner Shares are currently halted from trading, and the trading of the Schooner Shares is expected to remain halted pending completion of the Transaction.
