Item 1.01. Entry Into a Material Definitive Agreement.
     On November 1, 2005, Emageon Inc., a Delaware corporation (“Emageon”) entered into a Stock Purchase Agreement (the “Agreement”) with Analogic Corporation, a Massachusetts corporation (“Seller”) pursuant to which Emageon agreed to purchase, and Seller agreed to sell, all of the issued and outstanding shares of capital stock of Camtronics Medical Systems, Ltd., a Wisconsin corporation (“Camtronics”). The terms of the transaction are summarized under Item 2.01 of this Form 8-K.
     A copy of the Agreement is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
Item 2.01. Completion of Acquisition or Disposition of Assets.
     On November 1, 2005, Emageon completed its purchase of all the issued and outstanding shares of capital stock (the “Shares”) of Camtronics pursuant to the Agreement. The purchase price for the Shares was $40 million.
     Camtronics is a leading provider of cardiology image and information management systems. Camtronics had unaudited revenue of $38.1 million for the fiscal year ended July 31, 2005 and currently serves a customer base that includes approximately 350 hospitals.
     The foregoing description of the Agreement and the related matters described above do not purport to be complete and are qualified in their entirety by reference to the Agreement, which is filed as Exhibit 99.1 hereto and is incorporated herein by reference.
