EXPLANATORY NOTE
LifePoint Hospitals, Inc. (the Company) filed this Registration Statement on Form S-8 to register an additional 2,500,000 shares of the Companys common stock, $0.01 par value (Common Stock), issuable pursuant to the LifePoint Hospitals, Inc. 1998 Long-Term Incentive Plan, as amended (the Incentive Plan), and an additional 200,000 shares of Common Stock issuable pursuant to the LifePoint Hospitals, Inc. Employee Stock Purchase Plan, as amended (the ESPP). The contents of the Companys Registration Statements on Form S-8 (File Nos. 333-78187 and 333-63140) registering shares of Common Stock issuable pursuant to the Incentive Plan and filed with the Securities and Exchange Commission on May 11, 1999 and June 15, 2001, respectively, are hereby incorporated by reference pursuant to Instruction E to Form S-8. The contents of the Companys Registration Statement on Form S-8 (File No. 333-91732) registering shares of Common Stock issuable pursuant to the ESPP and filed with the Securities and Exchange Commission on July 1, 2002 are hereby incorporated by reference pursuant to Instruction E to Form S-8.
