8.01.    Other events.

Cooper-Standard Automotive Inc. (the ‘‘Company’’), a wholly-owned subsidiary of Cooper-Standard Holdings Inc., issued a press release (the ‘‘Press Release’’) on December 18, 2006 regarding a Memorandum of Understanding entered into by the Company, Ford Motor Company and Automotive Components Holdings providing for the purchase by the Company of the fuel rail manufacturing business operated from Automotive Components Holdings’ El Jarudo, Mexico plant.
