PART III — NARRATIVE
State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.
Our Annual Report on Form 10-K for the fiscal year ended June 30, 2006 and our Quarterly Report on Form 10-Q for the first quarter of fiscal year 2007 ended on September 30, 2006 were both filed on January 23, 2007 and, because of minor printing errors, a Form 10-K/A was filed on February 1, 2007. As a result of the time and effort necessary to prepare those previous filings, and the need to complete those previous filings before completing our Quarterly Report on Form 10-Q for the second quarter of fiscal year 2007 ended on December 31, 2006 (the “Second Quarter 10-Q”), we are unable to file the Second Quarter 10-Q by the due date of February 9, 2007, without unreasonable effort or expense. We anticipate filling the Second Quarter 10-Q on or before the 5th calendar day after the February 9, 2007 due date.
