Item 8.01. Other Events.

     On March 9, 2005, Terayon Communication Systems, Inc. (Terayon) completed the sale of certain of its cable modem semiconductor assets to ATI Technologies, Inc. pursuant to that certain Asset Purchase Agreement that the companies entered into as of February 7, 2005.
