liability, and loss (including attorney's fees, judgments, fines, Employee
Retirement Income Security Act

settlement) reasonably incurred or suffered in connection therewith, to the
fullest extent authorized by the Delaware General Corporation Law, and also

Incorporation of the Company provide that the Company may maintain insurance to
