Item 5.02.		Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

     On September 3, 2010, Mari Carmen Aponte resigned from the Board of Directors of Oriental Financial Group Inc. (the “Company”) effective immediately, following her appointment by President Barack Obama to be the Chief of the United States Mission in the Republic of El Salvador. Ms. Aponte was the Vice Chairperson of the Board’s Compensation Committee.
