Item 8.01. Other Events.

On December 21, 2004, NRG Energy, Inc., or the Company or NRG, completed the sale of $364,267,000 aggregate principal amount of the Company’s 4% Convertible Perpetual Preferred Stock (liquidation preference $1,000 per share), or the Preferred Stock. The Company anticipates that it will complete the sale of an additional $55,733,000 aggregate principal amount of Preferred Stock in the near future.

The Preferred Stock and the underlying common stock issuable upon conversion have not been registered under the Securities Act of 1933, as amended, and may not be offered or sold in the United States absent registration or an applicable exemption from registration requirements. This report on Form 8-K does not constitute an offer to sell, or solicitation of an offer to buy, any security and shall not constitute an offer, solicitation or sale in any jurisdiction in which such offering would be unlawful.
