Item 5.  Other Events.

     On June 15, 2004, the Company issued a press release announcing that it intends to increase the size of its proposed registered follow-on public offering of common stock to approximately 2,500,000 shares. In addition, the Company expects to grant the underwriters an over-allotment option to purchase up to an additional 375,000 shares from the Company. A copy of the press release is set forth as Exhibit 99.1.
