(1) The reported securities are held by the Lazar Sanders LLP Profit Sharing Plan Trust No. 2, a retirement trust of which Mr. Lazar is a beneficiary. Mr. Lazar disclaims beneficial ownership of the reported securities except to the extent of his pecuniary interest therein.
 
Remarks:
The Form 3 is being amended because the initial Form 3 stated some incorrect numbers and omitted to report the reoprting person's holdings with his wife.
