Item 2.02           Results of Operations and Financial Condition.

On April 5, 2005, The Interpublic Group of Companies, Inc. (the “Company”) held a conference call to announce certain unaudited preliminary financial information for the fiscal year ended December 31, 2004 and to provide an update on the status of the Company’s financial reporting process. A copy of the conference call transcript is attached hereto as Exhibit 99.1 and incorporated by reference herein.
