Item 1.01. Entry Into a Material Definitive Agreement.
On January 24, 2005, the Registrant's Board of Directors adopted a resolution
setting the annual retainer for non-employee directors at $16,000 per year and
the additional fee paid to the chair of each of the committees of the Board of
Directors at $3,000 per year. A copy of the resolution is attached hereto as
Exhibit 99.1 and is incorporated by reference herein in its entirety.

On January 25, 2005, the Registrant issued a press release announcing earnings
for the fiscal quarter ended January 1, 2005. A copy of such press release is
attached hereto as Exhibit 99.2 and is incorporated by reference herein in its
