Item 1.01 | Entry into a Material Definitive Agreement. |
On December 5, 2013, Airgas, Inc. (the “Company”) entered into the Fourth Amendment (the “Amendment”) to the Third Amended and Restated Receivables Purchase Agreement dated March 17, 2010 (the “Receivables Purchase Agreement”) among the Company, as servicer, Radnor Funding Corp., a bankruptcy-remote special purpose entity and wholly-owned subsidiary of the Company, as seller, the members of the various purchaser groups from time to time party thereto and The Bank of Tokyo-Mitsubishi UFJ, Ltd., New York Branch, as administrator (in such capacity, the “Administrator”). The Amendment extends the expiration date of the Receivables Purchase Agreement from December 4, 2015 to December 5, 2016. The maximum amount of borrowings available to the Company under the Receivables Purchase Agreement remained unchanged as a result of the Amendment.
