On July 6, 2007 (the Effective Date), Dollar General Corporation, a Tennessee corporation (the Company), completed its merger (the Merger) with Buck Acquisition Corp. (Merger Sub), a wholly owned subsidiary of Buck Holdings, L.P. (Parent), pursuant to the terms of the Agreement and Plan of Merger, dated as of March 11, 2007 (the Merger Agreement), by and among Parent, Merger Sub and the Company. Pursuant to the terms of the Merger Agreement, Merger Sub merged with and into the Company, with the Company surviving the Merger as a subsidiary of Parent. In accordance with the Merger Agreement, the Companys prior common stock, par value $0.50 per share (the Common Stock), has been canceled and is no longer outstanding.
As a result of the consummation of the transactions contemplated by the Merger Agreement, the Company has terminated all offerings of the Companys securities pursuant to

the Registration Statements identified above. Accordingly, pursuant to the undertakings contained in such Registration Statements to remove from registration, by means of a Post-Effective Amendment, any of the securities being registered which remain unsold at the termination of the offerings, the Company is filing this Post-Effective Amendment to these Registration Statements to deregister all the shares of the Companys Common Stock, all interests and all deferred compensation obligations registered by such Registration Statements which remained unissued as of the Effective Date.
